1. Acceptance of Terms

By accessing or using Evergreen Reviews ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Evergreen Reviews provides software and services that help businesses request, collect, and manage online customer reviews.

3. Eligibility & Accounts

You must be at least 18 years old and authorized to bind the business you represent. You are responsible for keeping account credentials confidential and for all activity under your account.

4. Acceptable Use

You agree not to:

• Send review requests to customers without proper consent and a prior business relationship.
• Incentivize, fabricate, or manipulate reviews in violation of platform policies (Google, Yelp, etc.) or applicable law (including FTC guidelines).
• Upload unlawful, infringing, harmful, or misleading content.
• Attempt to access, probe, or disrupt the Service or its infrastructure without authorization.
• Reverse engineer, scrape, or resell the Service.

5. Customer Data & Consent

You represent that you have lawful basis and any required consent to upload customer contact information and to send communications to those customers through the Service, in compliance with TCPA, CAN-SPAM, CASL, GDPR, and similar laws.

6. Subscriptions & Billing

Paid plans renew automatically until cancelled. Fees are non-refundable except as required by law. You authorize us to charge your payment method for applicable fees and taxes.

7. Intellectual Property

The Service, including all software, content, and trademarks, is owned by Evergreen Reviews or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

8. Third-Party Services

The Service may integrate with third-party platforms (e.g., Google, Calendly). Your use of those platforms is governed by their own terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee any specific number, rating, or outcome of reviews.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERGREEN REVIEWS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Evergreen Reviews from any claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate access to the Service at any time for breach of these Terms. You may cancel your subscription at any time through your account.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Evergreen Reviews is established, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction.

14. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
